THIS AGREEMENT is made and entered into as of this 5th day of June, 2015, by and among Fintan Alternative Fixed Income Advisory Fund, LLC, a Delaware limited liability company (the “Advisory Feeder Fund ”), Fintan Alternative Fixed Income Institutional Fund, LLC, a Delaware limited liability company (the “Institutional Feeder Fund” and together with the Advisory Feeder Fund, the “Feeder Funds” and each a “Feeder Fund”), Fintan Alternative Fixed Income Master Fund, LLC (the “Master Fund”), a Delaware limited liability company (the “Master Fund”), and U.S. Bank National Association, a national banking association existing under the laws of the United States of America with its principal place of business at Minneapolis, Minnesota (the “Custodian”). The Feeder Funds and the Master Fund are sometimes referred to herein individually as a “Fund”, and collectively as the “Funds”.

This limited liability company agreement (“Agreement”) of Fintan Alternative Fixed Income Master Fund, LLC (the “Fund”) is dated as of April 6, 2015 by and among the Organizational Member (as defined below) and those persons admitted as Members on or after such date.

Fintan Partners, LLC (the “Investment Manager”), the investment manager of each of you (each, a “Fund”), notifies each of you that it will maintain the Advisory Fund’s Capped Expenses (defined below) below 0.50% of the Advisory Fund’s Adjusted Net Asset Value (defined below) annualized (computed and applied on a monthly basis), and that it will maintain the Institutional Fund’s Capped Expenses below 0.50% of the Institutional Fund’s Adjusted Net Asset Value annualized (computed and applied on a monthly basis). Capitalized terms that are not defined in this Agreement are as defined in the applicable prospectus or the applicable limited liability company agreement of the Advisory Fund, the Institutional Fund, or the Master Fund.

THIS AGREEMENT is made and entered into as of this 5th day of June, 2015, by and among FINTAN ALTERNATIVE FIXED INCOME ADVISORY FUND, LLC, a Delaware limited liability company (the “Advisory Feeder Fund ”), FINTAN ALTERNATIVE FIXED INCOME INSTITUTIONAL FUND, LLC, a Delaware limited liability company (the “Institutional Feeder Fund” and together with the Advisory Feeder Fund, the “Feeder Funds” and each a “Feeder Fund”), FINTAN ALTERNATIVE FIXED INCOME MASTER FUND, LLC, a Delaware limited liability company (the “Master Fund”), and U.S. BANCORP FUND SERVICES, LLC, a Wisconsin limited liability company (“USBFS”). The Feeder Funds and the Master Fund are sometimes referred to herein individually as a “Fund”, and collectively as the “Funds”.
