This patent license and settlement agreement ("Agreement"), is made effective the 6th day of March, 2012 (the "Effective Date"), by and between PSI Systems, Inc. (a subsidiary of Newell Rubbermaid Inc., a Delaware corporation), with its principal place of business at 385 Sherman Ave., Palo Alto, California 94306-1864 ("PSI") and Stamps.com Inc., a Delaware corporation, with its principal place of business at 12959 Coral Tree Place, Los Angeles, California 90066-7020 ("Stamps.com").
