THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) dated February 11, 2008, is between Callon Petroleum Operating Company, a Delaware corporation, with an office at 200 North Canal Street, Natchez, Mississippi 39120 (“Seller”) and CIECO Energy (US) Limited, a Delaware corporation, with an office at 5555 San Felipe, Suite 620, Houston, Texas 77056 (“Buyer”) (with Seller and Buyer being individually, a “Party” and collectively, the “Parties”.)
