WHEREAS the parties entered into an option agreement executed and made effective the 8th day of September, 2006, as amended by an Amendment Agreement dated September 22, 2006 (collectively, the "Option Agreement"), with respect to an option on certain mineral claims and the parties wish to amend the terms thereof;

Pursuant to an agreement dated March 26, 2004 (the "Wells Option Agreement") between the Optionor and Ronald C. Wells ("Wells"), the Optionor has an irrevocable right to acquire a 100% undivided right, title and interest, subject only to a royalty of 1½ % Net Smelter Returns (the “NSR Royalty”), in certain mineral claims situated in the Kamloops Mining Division of the Province of British Columbia (collectively, the "Property"), as more particularly described in Schedule "A" hereto;

WHEREAS the parties entered into an agreement made effective the 26th day of March, 2004, as amended by an agreement dated the 8th day of March, 2005 (collectively, the "Option Agreement"), with respect to an option on certain mineral claims and the parties wish to amend the terms thereof;
