THIS CONSULTING AGREEMENT (“Agreement”) is made and entered into in duplicate effective this 1st day of February, 2004 (“Effective Date”), by and among GOLDEN PATRIOT, CORP., a Nevada corporation of Suite 1205, 789 West Pender Street, Vancouver, British Columbia, Canada, V6C 1H2 (“Corporation”), and E. THIS LETTER OF INTENT is made and entered into this 15th day of March, 2004 by and between Megastar Development Corp. (hereinafter “MDV”), a publicly held Canadian corporation organized under the laws of the Province of British Columbia and Golden Patriot, Corp. (hereinafter “GPTC”), a publicly held Nevada corporation organized under the laws of Nevada.
