THIS AGREEMENT FOR SHARE EXCHANGE (this “Agreement”) is dated as of January 1, 2005, by and among CHINA ENERGY & CARBON BLACK HOLDINGS INC., a Nevada corporation (the "Purchasers", “CHEY” or the “Company”), AT Group Limited, a Hong Kong corporation (“AT GROUP” or the “Acquiree”), and the Shareholders of AT Group who execute this Agreement (collectively the “SHAREHOLDERS”).
