Reference is made to the certain Warrant issued January 27, 2014 exercisable for up to 1,136,364 shares of common stock of KONARED CORPORATION, a Nevada corporation (the "Company"), and held by LINCOLN PARK CAPITAL FUND, LLC, an Illinois limited liability company ("LPC") at an exercise price per share after adjustment of $0.15 (the "January 2014 Warrant").
