In consideration of the agreements reflected below and for other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, this Letter Agreement (the "Letter Agreement") will serve to amend the Employment Agreement entered into as of November 1, 2000, by and between yourself and The Great Atlantic & Pacific Tea Company, Inc. (the "Company"), as amended on May 30, 2001 (the "Agreement"). By executing this Letter Agreement, you resign your position as an officer of the Company effective as of February 23, 2002, resign as a member of the Company's Board of Directors on March 19, 2002, and retire from the Company on May 20, 2002 (the "Retirement Date"). The Company accepts such resignations as of the 23rd of this month and the 19th of next month, respectively, and further agrees to your retirement on the Retirement Date. As we discussed, this Letter Agreement (the "Letter Agreement") will serve to amend the Employment Agreement (the "Agreement") entered into as of November 1, 2000, by and between yourself and The Great Atlantic & Pacific Tea Company, Inc. (the "Company"). Notwithstanding Section 10 of the Agreement which provides for an 18 month severance benefit period (the "Severance Period"), the Company is agreeable to reviewing, on a month-to-month basis, the possible extension of the Severance Period to 24 months. Accordingly, at the end of the 17th month of the Severance Period, should you not be employed, the Company will, after considering all of the circumstances, determine if it chooses to extend the Severance Period for an additional month.
