THIS AGREEMENT, entered into as of this 29th day of June, 2016, by and between the CHESAPEAKE INVESTMENT TRUST (the "Trust"), a Delaware Statutory Trust, and GARDNER LEWIS ASSET MANAGEMENT, L.P., a Pennsylvania corporation (the "Advisor"), registered as an investment advisor under the Investment Advisors Act of 1940, as amended (the "Advisors Act").
