THIS AGREEMENT made as of the 1st day of November, 2013 and amended as of February 4. 2014, by and between FSI LOW BETA ABSOLUTE RETURN FUND (the "Fund"), a statutory trust organized under the laws of the State of Delaware, and ULTIMUS FUND SOLUTIONS, LLC ("Ultimus"), a limited liability company organized under the laws of the State of Ohio and having its principal place of business at 225 Pictoria Drive, Suite 450, Cincinnati, Ohio 45246.

This letter amends and restates, in its entirety, the letter agreement between Meritage Capital LLC (the “Subadviser”) and Financial Solutions, Inc. (the “Adviser”) setting forth the terms under which the Subadviser has agreed to waive subadvisory fees payable to it by the Adviser under the Subadvisory Agreement Among FSI Low Beta Absolute Return Fund, Financial Solutions, Inc. and Meritage Capital LLC (the “Subadvisory Agreement”).
