This Share Exchange Agreement, dated as of February 8, 2011 (this “Agreement”) by and among Hondo Minerals, Inc., a Nevada corporation (“Hondo”), a majority of the stockholders of Hondo (the “Hondo Majority Shareholders”), Tycore Ventures, Inc., a Nevada corporation (“TYCV”), and the majority stockholder of TYCV (the “TYCV Controlling Stockholder”).
