This Professional Services Agreement (this "Agreement") is made and shall become effective as of July [___], 2010 (the "Effective Date"), by and between TXU Energy Retail Company LLC, a Texas limited liability company ("COMPANY"), and Attune RTD, a Nevada corporation ("CONTRACTOR"), pursuant to which CONTRACTOR will provide to COMPANY the services described in the Statement of Work.
