THIS JOINDER AGREEMENT AND AMENDMENT NUMBER EIGHT TO LOAN AND SECURITY AGREEMENT (this “Agreement”) is entered into as of February 13, 2026, but effective as of November 30, 2025, by and among SUGARFINA CORPORATION, a Delaware corporation (‘Sugarfina”), SUGARFINA IP LLC, a Delaware limited liability company (“Sugarfina IP”), SUGARFINA USA LLC, a Delaware limited liability company (“Sugarfina USA”), BOXFOX INC., a Delaware corporation (“BoxFox”), CANDY CLUB CORPORATION, a Delaware corporation (“Candy Club”, and collectively with Sugarfina, Sugarfina IP, Sugarfina USA, and BoxFox, the “Existing Borrowers”) and ARTISANAL EXPRESSIONS, INC., a California corporation (“New Borrower”, and collectively with the Existing Borrowers, the “Borrowers” and each individually, a “Borrower”) and AUSTIN FINANCIAL SERVICES, INC., a Delaware corporation (“Lender”).
