This Purchase and Sale Agreement is made as of October 3, 2025 (the “Execution Date”) (together with all schedules and exhibits attached hereto or delivered in connection herewith, this “Agreement”) by and among Cardinal Purchaser LLC, a Delaware limited liability company (“Purchaser”), Deriva Energy, LLC, a Delaware limited liability company (“Deriva Energy”), Symphony Breeze, LLC, a Delaware limited liability company (“Symphony Breeze”), and Symphony Sun, LLC, a Delaware limited liability company (“Symphony Sun” and, together with Symphony Breeze, the “Symphony Entities”). Each of Deriva Energy, and the Symphony Entities is, individually, a “Seller” and, collectively, “Sellers”. Each of Purchaser and Sellers are the “Parties” and each, individually, is a “Party”.
