This COOPERATION AGREEMENT (the “Agreement”), dated as of January 14, 2025, is made and entered into by and among INTREPID POTASH, INC., a Delaware corporation (the “Company”), and CLEARWAY CAPITAL MANAGEMENT LLC (“Clearway”) and the other persons and entities listed on Schedule A hereto (collectively and together with Clearway, the “Investor Group”). The Company and the Investor Group are each herein referred to as a “party” and collectively, as the “parties”.
