THIS FUND PARTICIPATION AGREEMENT (“Agreement”) made as of the 9th day of November, 2020, by and between Calvert Variable Products, Inc. and Calvert Variable Series, Inc. (collectively, the “Corporations”), each a Maryland corporation, on its behalf and on behalf of each separate investment series thereof, whether existing as of the date above or established subsequent thereto, (each a “Portfolio” and collectively, the “Portfolios”), Eaton Vance Distributors, Inc. (the “Distributor”), and Protective Life Insurance Company (the “Company”), an insurance company organized under the laws of Tennessee.

Protective Life Insurance Company (the “Company”), VanEck VIP Trust (the “Fund”), a Massachusetts business trust, and Van Eck Securities Corporation (the “Underwriter”), a Delaware company, entered into a certain participation agreement dated September 30, 1998 (the “Participation Agreement”). This Amendment (the “Amendment”) to the Participation Agreement is entered into as of March 22, 2022, by and among the Company, on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the “Accounts”), the Fund and the Underwriter (collectively, the “Parties”).
