This Employment Agreement (the “Agreement”) is made and entered into as of the 29th day of February 2024, to be effective as of the Effective Date as defined in Section 19 below, by and between Fifth District Savings Bank, a federally chartered savings bank (the “Bank”) and Amie Lyons (the “Executive”). Any reference to the “Company” shall mean Fifth District Bancorp, Inc., the proposed holding company of the Bank.

This letter sets forth the agreement between Fifth District Savings Bank, New Orleans, Louisiana (the “Bank”), a federally-chartered mutual savings bank and RP Financial, LC (“RP Financial”). In this regard, the Bank has engaged RP Financial to provide the independent conversion appraisal services in conjunction with the conversion transaction. The scope, timing and fee structure for these appraisal services are described below.
