Hut 8 Mining Corp., a corporation organized and existing under the laws of the Province of British Columbia, Canada (the "Borrower") and Coinbase Credit, Inc. ("Coinbase Credit") a corporation organized and existing under the laws of the State of Delaware, as Lender, Collateral Agent and Administrative Agent are parties to a Credit Agreement dated as of June 26th 2023 (the “Existing Credit Agreement”) and have agreed to amend and restate the Existing Credit Agreement with effect from the Amendment and Restatement Effective Date as follows:
