THIS THIRD AMENDED AND RESTATED BUSINESS COMBINATION AGREEMENT (this “Agreement”) is made and entered into as of June 14, 2023, by and among Digital Transformation Opportunities Corp., a Delaware corporation (“Acquiror”), American Oncology Network, LLC, a Delaware limited liability company (the “Company”), GEF AON Holdings Corp., a Delaware corporation (the “C Preferred Investor”), and DTOC Merger Sub, Inc., a Delaware corporation and a direct, wholly owned Subsidiary of Acquiror (“Merger Sub”). Acquiror and the Company are collectively referred to herein as the “Parties” and individually as a “Party.”
