The undersigned, Lead Real Estate Co., Ltd, a joint-stock corporation with limited liability formed under the laws of Japan (the “Company”), hereby confirms its agreement (this “Agreement”) with the several underwriters named on Schedule I (the “Underwriters”), for whom EF Hutton, Division of Benchmark Investments, LLC is acting as representative, in such capacity, the “Representative”) as follows:
