THIS ABL CREDIT AGREEMENT is dated as of March 15, 2019 (as amended by the First Amendment) among ARROW BIDCO, LLC, a Delaware limited liability company (“Arrow Bidco”), TARGET LOGISTICS MANAGEMENT, LLC, a Massachusetts limited liability company (“Target Logistics”), RL Signor Holdings, LLC, a Delaware limited liability company (“RL Signor”), and each of the other Persons identified on the signature pages hereto as a “Borrower” (together with Arrow Bidco, Target Logistics and RL Signor, each, an “Initial Borrower” and, collectively, the “Initial Borrowers”), any other Person from time to time party to this Agreement as a Borrower, TOPAZ HOLDINGS LLC, a Delaware limited liability company (“Holdings”), the Persons from time to time party to this Agreement as Guarantors (as defined herein), the financial institutions party to this Agreement from time to time as lenders (collectively, the “Lenders”) and BANK OF AMERICA, N.A., a national banking association, in its capacity as collateral ag
