This Participation Agreement (the “Agreement”), is entered into on June 10, 2021, by and between Alta Trust Company, as trustee of the Trust referred to below (including any successor thereto, the “Trustee”), and American United Life Insurance Co. as described above (the “Insurance Company”) acting on its own behalf and on behalf of its separate accounts (“Separate Accounts”), with reference to the following:

The undersigned, Goldman Sachs Asset Management, L.P. (“GSAM”), 200 West Street, New York, New York, 10282, is a registered investment adviser. GSAM acts as investment adviser to the Trust, which is an open-end management investment company that includes the Goldman Sachs Equity and Fixed Income Funds (such funds now existing or hereafter offered are individually referred to herein as a “Fund” and, collectively, the “Funds”). Shares or units of beneficial interest (“Shares”) of each Fund may be divided into separate classes including Class A, I, R, Investor and Service Shares, (individually referred to herein as a “Class”).
