This Backstop Facility Agreement (this “Agreement”) is entered into as of January 6, 2022 by and between CC Neuberger Principal Holdings III, a Cayman Islands exempted company (the “Company”), and Neuberger Berman Opportunistic Capital Solutions Master Fund L.P., a Cayman Islands exempted limited partnership (the “Purchaser”). Capitalized terms used but not initially defined in this Agreement shall have the meaning hereinafter ascribed to such terms.
