WHEREAS, Agree Limited Partnership (the “Partnership”) was formed as a limited partnership under the laws of the State of Delaware, pursuant to a Certificate of Limited Partnership filed with the Secretary of State of the State of Delaware effective as of April 4, 1994 and the Agreement of Limited Partnership, entered into on April 4, 1994 (as amended and restated from time to time, the “Original Agreement”), by and between Agree Realty Corporation, a Maryland corporation (together with its successors and assigns, the “General Partner”), and Richard Agree, as the original Limited Partner.
