RECEIVABLE PURCHASE AGREEMENT (as it may be amended, modified or supplemented from time to time, this “Agreement”) is made as of August 12, 2021 (the “Purchase Date”), by and between Elixir Insurance Company, an Ohio domiciled insurance company (“Seller”), and in its capacity as the initial “Servicer” as herein provided, and Part D Receivable Trust 2020-1, acting solely with respect to Part D Receivable Trust 2020-1, Series D thereof (“Purchaser”), a Delaware statutory trust beneficially owned, directly or indirectly, by Bank of America, N.A. (“BOA”) or a wholly-owned subsidiary thereof.
