This AMENDED AND RESTATED LOAN AGREEMENT (as amended, restated, supplemented or otherwise modified from time to time, the "Agreement") is made and entered into as of the 6th day of November, 2020 by and between, THOMPSON IM FUNDS, INC., a Wisconsin corporation with its address at 1255 Fourier Drive, Suite 200, Madison, Wisconsin 53717 (the "Borrower"), and U.S. BANK NATIONAL ASSOCIATION, a national banking association with its address at 425 Walnut Street, Cincinnati, Ohio 45202 (the "Bank"), and amends and restates in its entirety that certain Loan Agreement between the Borrower (formerly known as Thompson Plumb Funds, Inc.) and the Bank dated as of October 1, 2004 (as amended from time to time, collectively, the “Original Loan Agreement”).

We desire to enter into an agreement with you for the sale and distribution of the shares of each open-end investment company (or class or series thereof having a separate portfolio) for which you act as principal underwriter. Upon acceptance of this Agreement by you, we understand that we may offer and sell shares of each of the Funds (whether or not listed in Appendix A), subject, however, to all of the terms and conditions hereof and to your right, without notice, to suspend and terminate the sale of the shares of any one or more of the Funds.
