AMC Entertainment Holdings, Inc., a corporation organized under the laws of Delaware (the “Company”), confirms its agreement (this “Agreement”) with Citigroup Global Markets Inc. and Goldman Sachs & Co. LLC (each a “Manager” and, collectively, the “Managers”) as follows:
