This STOCK PURCHASE AGREEMENT, dated as of August 6, 2020 (this "Agreement"), is entered into by and among Intercontinental Exchange, Inc., a Delaware corporation (the "Purchaser"), Ellie Mae Intermediate Holdings I, Inc., a Delaware corporation (the "Company"), and Ellie Mae Parent, LP, a Delaware limited partnership (the "Seller").
