THIS SEVENTEENTH AMENDMENT TO LOAN AGREEMENT is made and entered into effective as of this 8th day of November, 2019 by and between U.S. BANK NATIONAL ASSOCIATION, with its address at 425 Walnut Street, Cincinnati, Ohio 45202 (the “Bank”), and THOMPSON IM FUNDS, INC., a Wisconsin corporation, with its address at 1255 Fourier Drive, Suite 200, Madison, Wisconsin 53717 (the “Borrower”), on behalf of the Thompson LargeCap Fund (the “Fund”).

THIS FOURTH AMENDMENT, dated as of the last date written in the signature page, to the Distribution Agreement dated as August 19, 2015, as amended (the “Distribution Agreement”), is entered into by and between THOMPSON IM FUNDS, INC., a Wisconsin corporation (the “Corporation”), QUASAR DISTRIBUTORS, LLC, a Delaware limited liability company (“Distributor”). THOMPSON INVESTMENT MANAGEMENT, LLC, the investment advisor to the Corporation (the “Advisor”), is a party hereto with respect to Sections 3F. and 6 only.

THIS REIMBURSEMENT AGREEMENT (this “Agreement”) is made as of this February 20, 2020 by and between Thompson Investment Management, Inc., a Delaware Corporation (“TIM” or the “Adviser”), and Thompson IM Funds, Inc., a Wisconsin corporation and registered open-end management investment company (the “Company”), on behalf of its various mutual fund series (each such series, a “Fund” and such series collectively, the “Funds”).
