THIS TAX MATTERS AGREEMENT (this “Agreement”), dated as of December 14, 2017, is entered into by and among, NRG Energy, Inc., a Delaware corporation (“NRG”), GenOn Energy, Inc, and Reorganized GenOn (together with GenOn Energy, Inc., “GenOn”).
