THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) between EarthLink Holdings Corp., a Delaware corporation (“Holdings”), EarthLink Shared Services, LLC, a Delaware limited liability company (collectively with Holdings, the “Company”) and Joseph F.
