FIRST AMENDED AND RESTATED CREDIT AND GUARANTY AGREEMENT, dated as of July 17, 2015, among Aeropuerto de Cancún, S.A. de C.V., a sociedad anónima duly incorporated and validly existing under the laws of Mexico, as borrower (the “Borrower”), Grupo Aeroportuario del Sureste, S.A.B. de C.V., a sociedad anónima bursatil de capital variable duly incorporated and validly existing under the laws of Mexico, as guarantor (the “Guarantor”), the several Lenders (as defined herein) from time to time party hereto and BBVA Bancomer S.A., Institución de Banca Múltiple, Grupo Financiero BBVA Bancomer, as administrative agent for the Lenders (in such capacity, the “Administrative Agent”).
