THIS ASSET PURCHASE AGREEMENT (the “Agreement”) is entered into and effective as of July 21, 2015 (the “Effective Date”), by and between Landmark Infrastructure Holding Company LLC, a Delaware limited liability company (“Landmark”), and Landmark Infrastructure Operating Company LLC, a Delaware limited liability company (“OpCo”) and wholly owned subsidiary of Landmark Infrastructure Partners LP. Landmark and OpCo may be singularly referred to as a “Party” and collectively referred to as the “Parties.”
