This REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of June 24, 2015 by and among Ferrellgas Partners, L.P., a Delaware limited partnership (the “Partnership”), on the one hand, and Jamex Marketing, LLC, a Louisiana limited liability company (“Jamex Marketing”), Rios Holdings, Inc., a Delaware corporation (“Rios Holdings”), and Gamboa Enterprises, LLC, a Delaware limited liability company (“Gamboa Enterprises”), on the other hand, (collectively, the “Investors”).
