THIS THIRD AMENDMENT TO CREDIT AGREEMENT AND LIMITED CONSENT (this “Amendment”), effective as of the 28th day of May, 2015 (the “Effective Date”), is entered into by and among MAGNUM HUNTER RESOURCES CORPORATION, a Delaware corporation (the “Borrower”), the guarantors party hereto (the “Guarantors”), the Lenders (as hereinafter defined) party hereto and BANK OF MONTREAL, as administrative agent for the Lenders (the “Administrative Agent”).
