This First Amended and Restated Employment Agreement (“Agreement”) is made and entered into as of May 29, 2015 (the “Amendment Effective Date”) by and between Enviva Management Company, LLC, a Delaware limited liability company (the “Company”), and Stephen F. Reeves (“Executive”) and supersedes and replaces in its entirety the Employment Agreement (the “Prior Agreement”) dated June 28, 2014 (the “Original Effective Date”) by and between Enviva Holdings, LP, a Delaware limited partnership (“Holdings”), as amended by the Assignment, Assumption and Amendment Agreement by and among Holdings, the Company and Executive dated April 9, 2015 (the “Assignment Agreement”).
