Reference is made to the Sales Agreement, dated October 31, 2012 (the “Sales Agreement”), among Corporate Office Properties Trust, a Maryland real estate investment trust (the “Company”), Corporate Office Properties, L.P., a Delaware limited partnership (the “Operating Partnership”), and Barclays Capital Inc., as sales agent and/or principal (the “Agent”), pursuant to which the Company proposed to sell from time to time through the Agent and the Alternative Agents shares of the Company’s common shares of beneficial interest, par value $0.01 per share (the “Common Shares”), having an aggregate offering price of up to $150,000,000 (the “Maximum Amount”) on the terms set forth in Section 2 of the Sales Agreement.
