WHEREAS Lenders have extended certain credit and banking facilities to Borrowers in an aggregate maximum principal amount of US$300,000,000 pursuant to that certain Credit Agreement, dated as of November 3, 2010 as amended, by and among the Borrowers, certain subsidiaries of the Borrowers, as Guarantors, the Lenders party thereto from time to time, and the Bank of Nova Scotia, as Administrative Agent (the “Original Credit Agreement”);
