Restricted Share Units/Non-transferability This grant is an award of Shares in the number of Restricted Stock Units described on the cover sheet subject to the vesting conditions described below (“RSUs”). The effectiveness of this grant is conditioned on your execution of the Employment Agreement between you and the Company dated as of January 1, 2014 (the “Employment Agreement”). To the extent not yet vested, your RSUs may not be transferred, assigned, pledged or hypothecated, whether by operation of law or otherwise, nor may the RSUs be made subject to execution, attachment or similar process
