AMENDED AND RESTATED AGREEMENT made as of November 1, 2012 by and between Baillie Gifford Funds, an unincorporated business trust organized under the laws of The Commonwealth of Massachusetts (the “Trust”), on behalf of The Emerging Markets Fund series (the “Fund”), and Baillie Gifford Overseas Ltd., a Scotland company (the “Adviser”), amending and restating in its entirety that certain Investment Advisory Agreement dated as of July 25, 2000 between the Trust and the Adviser.
