This Stock Purchase Agreement (“Agreement”) is entered into as of November 8, 2012, by and among Primoris Services Corporation, a Delaware corporation (“Buyer”), Q3 Contracting, Inc., a Minnesota corporation (the “Company”), each of the shareholders of the Company as set forth on the signature page hereto (collectively, “Sellers” and each, a “Seller”), and Jay P.
