Penns Woods Bancorp, Inc. (“Penns Woods”) and Luzerne National Bank Corporation (“Luzerne”) desire to enter into, concurrently with or following the execution of this letter agreement (this “Agreement”), an Agreement and Plan of Merger (as the same may be amended from time to time, the “Merger Agreement”), pursuant to which, among other things, Luzerne will merge with and into Penns Woods with Penns Woods surviving the merger (the “Merger”) pursuant to the terms and conditions of the Merger Agreement. Defined terms used but not otherwise defined herein shall have the meanings ascribed to them in the Merger Agreement.

This AGREEMENT AND PLAN OF MERGER (this “Agreement”), dated as of October 18, 2012, is made between Penns Woods Bancorp, Inc., a Pennsylvania corporation (“Penns Woods”), and Luzerne National Bank Corporation, a Pennsylvania corporation (“Luzerne”). Certain capitalized terms have the meanings given to them in Article I.
