This REGISTRATION RIGHTS AGREEMENT dated October 12, 2012 (the “Agreement”) is entered into by and among Sinclair Television Group, Inc., a Maryland corporation (the “Company”), the guarantors listed in Schedule 1 hereto (the “Guarantors”), and Wells Fargo Securities, LLC (“Wells Fargo”) as representative for Deutsche Bank Securities Inc., J.P. Morgan Securities LLC, Barclays Capital Inc., RBC Capital Markets, LLC, and SunTrust Robinson Humphrey, Inc. (collectively with Wells Fargo, the “Initial Purchasers”).
