Mack-Cali Realty, L.P., a limited partnership organized under the laws of Delaware (the “Operating Partnership”), and Mack-Cali Realty Corporation, a Maryland corporation qualified as a real estate investment trust and the general partner of the Operation Partnership (the “Company”), propose that the Operating Partnership sell to the several underwriters named in Schedule II hereto (the “Underwriters”), for whom you (the “Representatives”) are acting as representatives, the principal amount of its securities identified in Schedule I hereto (the “Securities”), to be issued under an indenture (the “Indenture”) dated as of March 16, 1999, among the Operating Partnership, the Company and Wilmington Trust Company, as trustee (the “Trustee”), as supplemented by supplemental indenture no. 15 to be dated the Closing Date, between the Operating Partnership and the Trustee.
