For good and valuable consideration, the receipt of which is hereby acknowledged by TEAMSTAFF, INC., a New Jersey corporation (the “Company”), (the “Holder”), is hereby granted the right to purchase, at any time from the 13th day of October, 2011 (the “Issue Date”) until 5:00 P.M., New York City time, on October 13, 2016 (the “Warrant Exercise Term”), up to TWENTY THOUSAND (20,000) fully-paid and non-assessable shares of the Company’s Common Stock, $0.001 par value per share (“Common Stock”), subject to and in accordance with the vesting provisions set forth below in Section 1.1.
