THIS AGREEMENT is made and entered into as of this 15th day of April, 2011, by and between IRONBRIDGE FUNDS, INC., a Maryland corporation (the “Company”) and QUASAR DISTRIBUTORS, LLC, a Delaware limited liability company (the “Distributor”). IRONBRIDGE CAPITAL MANAGEMENT, L.P., the investment adviser to the Company (the “Adviser”), is a party hereto with respect to Section 5 only.
