THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of October 7, 2011 by and among GOLDEN MINERALS COMPANY, a Delaware corporation (the “Company”), and SENTIENT GLOBAL RESOURCES FUND III, L.P., a Cayman Islands exempted limited partnership, SGRF III PARALLEL I, L.P., a Cayman Islands exempted limited partnership, and SENTIENT GLOBAL RESOURCES FUND IV, L.P., a Cayman Islands exempted limited partnership (collectively, the “Buyers”).
