THIS LOAN AND SECURITY AGREEMENT dated as of September 30, 2011 (this “Agreement”), is executed by and between by and among BENTON NURSING, LLC, a Georgia limited liability company (“Borrower 1”), PARK HERITAGE NURSING, LLC, a Georgia limited liability company (“Borrower 2”), and VALLEY RIVER NURSING, LLC, a Georgia limited liability company (“Borrower 3”) (collectively, “Borrowers”), and THE PRIVATEBANK AND TRUST COMPANY, an Illinois banking corporation (“Lender”).
