THIS PURCHASE AND SALE AGREEMENT is made and entered into as of August 15, 2011 (the “Effective Date”) by and between White River Health System, Inc., an Arkansas non-profit corporation(“Seller”), Seller and ADCARE PROPERTY HOLDINGS, LLC, an Ohio limited liability company or its permitted assigns (“Purchaser”).
