This STANDSTILL AGREEMENT (this “Agreement”) is dated as of the 20th day of May, 2011 by and between Level 3 Communications, Inc., a Delaware corporation (the “Company”), and Southeastern Asset Management, Inc., a Tennessee corporation (“Southeastern”). This Agreement will only become effective as provided in Section 5.11 below.
